FAIR VALUE REPORT

SPOTIFY · SPOT · OCT 26, 2026 · AFTER RESULTS OF OCT 22, 2026

Spotify's profit fell and the stock jumped 11%. What is the market buying?

The quarter to September 2026 brought lower earnings per share and less cash. The share price added $12 billion anyway, on a promise for the quarter to December. The rally itself has a cost nobody has priced in.

THE REPORT IN 3 POINTS

  • 01Spotify rose 11.1% to $583.66 on 22 October 2026 even though diluted EPS fell 24% and free cash flow dropped 9%.
  • 02The rally adds roughly EUR 40 million of stock-based payroll tax, about 5% of the EUR 820 million December guide.
  • 03FPI fair value is $413.89, 29.1% below the price, while the Street mean target sits at $614.55.

An 11% jump for a quarter in which earnings per share fell 24%

Spotify ($SPOT) reported on 22 October 2026 and the stock closed at $583.66, up 11.1% in a day. Revenue for the quarter to September 2026 (the company reports in euros) was EUR 4,969 million, up 16%, gross margin was 33.0% against 32.9% guided, and operating income EUR 672 million against EUR 670 million guided. In FPI's dollar-based history it still counts as a miss: EPS of $2.81 against $3.18.

Below the operating line, net income fell to EUR 518 million from EUR 899 million in the quarter to September 2025; diluted earnings per share dropped to EUR 2.48 from EUR 3.28, a 24% decline. Finance income shrank from EUR 262 million to EUR 62 million and tax swung from a EUR 72 million benefit to a EUR 187 million charge. Free cash flow was EUR 735 million, down 9%, the first year-on-year quarterly decline in the series published since 2023. Operating expenses grew 26% against 16% revenue growth.

The market bought the guidance, not the quarter. For the quarter to December 2026 the company guided to 316 million subscribers, EUR 5.2 billion of revenue, a 33.8% gross margin and EUR 820 million of operating income - 17% above the EUR 701 million of the quarter to December 2025. Subscribers stood at 306 million on 22 October 2026, 1 million above guidance.

Spotify beat the EPS estimate in 3 of the last 8 quarters. Price reaction is the move on the trading day after the results.

The rally itself costs about EUR 40 million of the EUR 820 million promise

Spotify pays payroll taxes on employee stock awards in several countries - social charges - and part of that bill rises with the share price. In the quarter to September 2026 they were EUR 22 million, EUR 13 million above forecast, because the stock rose during the quarter. In the quarter to June 2026 they were EUR 9 million below forecast - a swing of EUR 22 million between two quarters from the share price alone.

The EUR 820 million guide incorporates only EUR 6 million of social charges, based on the $487.38 close of 30 September 2026. By the company's own sensitivity, a 10% move in the stock shifts the charge by roughly EUR 20 million. At $584.10 the stock is 19.8% above that anchor. Unless it retreats by 31 December 2026, the rally adds about EUR 40 million of cost - about 5% of the guided operating income. The balance sheet can absorb it: EUR 9.9 billion of cash and short-term investments, the EUR 1,458 million of exchangeable notes outstanding at 31 December 2025 fully retired, and $1.1 billion of buybacks in 2026 through 21 October.

Why the model stops at $414 when the price is $584

The FPI fair value is $413.89. The price of $584.10 sits 29.1% above it; the fair value is only 2.2% above the 52-week low of $405.00. Half the model is a discounted cash flow, and the inputs that pull a DCF down here are plain: a free cash flow yield of 2.83% - cash generated per dollar of market value - against an industry median of 3.46%, and trailing free cash flow of EUR 3.19 billion that just slipped from EUR 3.26 billion at the end of June 2026.

The peer leg agrees. Spotify trades at 35.1x earnings against an industry median of 17.1x, 30.3x EV/EBITDA (enterprise value to operating profit before depreciation) against 13.7x, and 6.4x sales against 4.0x.

What keeps the fair value from being lower is quality. Return on invested capital of 25.6% is three times the industry's 8.1%, net margin of 18.2% beats the 16.2% median, and the PEG ratio - P/E divided by expected earnings growth - is 0.57, a level that normally signals growth priced cheaply. The P/E fell from 78.6x at 31 December 2024 to 35.1x now while the price went from $447 to $584. Earnings outran the share price, which is why the stock is still 9.5% lower than in October 2025 while the S&P 500 gained 12.3%.

Over the 116 days to October 26, 2026 the share price went from $467.09 to $583.43 (+24.9%) and the FPI fair value from $318.49 to $410.73 (+29.0%). The gap moved from 31.8% above fair value to 29.6% above.

Street vs model: $615 against $414, and three new targets already below the price

Wall Street's consensus is buy: 33 buy, 19 hold, 2 sell. The mean target of $614.55 is 5.2% above the price; the median is $625, the range $490 to $720. The mean sits 48.5% above the FPI fair value, and even the lowest target is 18.4% above it.

The six targets of 23 October 2026 split. Morgan Stanley went to $700, Wells Fargo to $660, Guggenheim to $650. Cantor Fitzgerald ($550), Rosenblatt Securities ($576) and Piper Sandler ($580) landed below the $583.66 the stock traded at that day - three of six fresh targets imply a decline.

The most likely reason for the gap: analysts price 2027 and 2028 earnings after the guided margin step-up; the interim report shows price increases added EUR 0.48 to Premium ARPU in the quarter to September 2026. A DCF weighs the cash actually produced, and that cash shrank 9%. Insiders are on the model's side: 72 sales worth $110 million and zero purchases in 12 months, including the co-CEO's sale of 7,364 shares at $527 to $533 on 12 October 2026, 9% below the current price.

Three numbers that decide the case before 9 February 2027

To re-rate up, the quarter to December 2026 has to deliver EUR 820 million of operating income despite the social-charge headwind, a gross margin of 33.8% or better, and free cash flow above the EUR 834 million of the quarter to December 2025; a second consecutive cash decline would hit the DCF again. Operating expense growth below the 16% revenue pace would confirm costs peaked in the September quarter.

To re-rate down, a 2027 outlook with gross margin flat around 33% would do it, as would ad-supported growth slipping back to the 3% of the March and June 2026 quarters from 9% in September.

Price levels to watch:

  • $526.01 (50-day average) and $496.61 (200-day average) - where the rally would be judged to have failed.
  • $673.16 - the 52-week high, roughly where the $700 targets point.
  • $413.89 - the fair value; an RSI(14) of 71 says the move is stretched.

The next report is due on 9 February 2027 (unconfirmed), with consensus at $3.69 EPS on $5.87 billion of revenue.

  • 01Hitting the EUR 820 million December 2026 operating income guide, 17% above the EUR 701 million a year earlier, would validate the margin step-up Morgan Stanley's $720-area targets assume.
  • 02Return on invested capital of 25.6% against the industry's 8.1% and a PEG of 0.57 support a premium multiple if growth holds.
  • 03Subscribers reached 306 million on 22 October 2026, 1 million above guidance, with 316 million guided for the December 2026 quarter.

BOTTOM OF THE FPI FAIR VALUE BAND

  • 01Free cash flow fell 9% to EUR 735 million in the quarter to September 2026, the first year-on-year quarterly decline in the series published since 2023.
  • 02Insiders sold 72 times for $110 million with zero purchases in 12 months, including the co-CEO's 7,364 shares at $527 to $533 on 12 October 2026.

FPI FAIR VALUE $413.89 · FPI fair value of $413.89 sits far nearer the $269.03 bear anchor than the $720.00 bull anchor, because the DCF weighs trailing free cash flow of EUR 3.19 billion that just fell 9%.
